1. Definitions

In these Terms & Conditions, the following terms have the meanings set out below.

Company, we, us or our

Company means Curricly AI, the operator of the Service. If a separate legal entity is identified in an order, school agreement or other written contract, that entity is the Company for that transaction.

Service

Service means the Curricly AI website, application, teaching studio, account features, APIs, live classroom tools and related services made available by the Company.

Account

Account means the credentials and profile used by an individual to access the Service.

Workspace

Workspace means a personal, school, faculty, team or organisation area in which users create, store or share Content.

Content

Content means prompts, instructions, uploads, references, drafts, generated resources, edits, exports, messages and other material submitted to or produced through the Service.

Output

Output means text, questions, activities, images, explanations, layouts, recommendations or other material returned by an AI or other feature in response to Content.

Student Data

Student Data means information about a student, learner or child submitted to or generated in connection with a classroom, resource or live-session activity.

2. Agreement to these terms

These Terms & Conditions form an agreement between you and the Company for your access to and use of the Service. By creating an Account, selecting an acceptance control, accessing a feature or using the Service, you agree to these terms and the Privacy Policy.

If you use the Service for a school, team or other organisation, you confirm that you are authorised to accept these terms for yourself and to follow any additional agreement, policy or instruction that applies to that Workspace. If a written order or school agreement conflicts with these terms, the written agreement controls for that conflict.

3. Eligibility and account registration

The Service is intended for teachers, education professionals, school teams and other authorised users who can enter a binding agreement. You must provide accurate information when registering and keep your Account details current.

• Keep your password, sign-in links and other credentials private.
• Do not share an Account or allow another person to use your identity.
• Tell the Company promptly if you believe your Account has been accessed without permission.
• Follow access, acceptable-use, privacy, safeguarding and records rules set by your school or organisation.

You are responsible for activity carried out through your Account unless it resulted from the Company's failure to apply reasonable security measures.

4. The Service and early access

The Service provides tools for creating, editing, organising, exporting and sharing teaching resources, together with classroom, workspace and AI-assisted features. The Company may add, remove, rename or change features as the Service develops.

The Service is currently offered as an evolving early-access product. A feature marked as early access, experimental or in development may be less mature than a generally available feature. Early access does not promise uninterrupted operation, a particular release schedule or that every feature will remain available.

Keep your own copies of important teaching materials. The Service is a working tool and should not be your only backup.

5. Workspaces and sharing

A Workspace may have an owner or administrator who controls membership, permissions, invitations, shared resources and other settings. If you join a school or organisation Workspace, your Content may be accessible to that Workspace's authorised administrators or members according to its settings.

You are responsible for checking a resource's sharing settings before making it available to students, colleagues or the public. Do not use a personal Workspace to bypass a school's approved systems or retention instructions.

6. AI features and professional judgement

Output may include text, questions, activities, images, explanations, answer keys, recommendations or other material generated with automated systems. Output is a suggested starting point and can be inaccurate, incomplete, out of date, unsuitable for a particular learner or inconsistent with a curriculum or school policy.

• Review, fact-check and edit every Output before sharing or teaching it.
• Check accessibility, cultural suitability, curriculum alignment, answer keys, assessment criteria and age appropriateness.
• Do not rely on Output alone for a safeguarding decision, diagnosis, high-stakes assessment, legal obligation or other decision requiring qualified professional judgement.
• Check that generated or uploaded material does not infringe another person's copyright, confidentiality or other rights.

Using the Service does not transfer responsibility for a classroom decision from the teacher or school to the Company.

7. Acceptable use and prohibited conduct

You must not use the Service to:

• break the law, violate a school or organisation rule, or infringe another person's privacy, copyright, trademark or other rights;
• submit unnecessary sensitive, confidential, health, financial, authentication or detailed Student Data;
• create or distribute malware, threats, harassment, discriminatory material, sexual content involving minors or content that puts people at risk;
• probe, scan, reverse engineer, bypass access controls, evade usage limits or interfere with the Service;
• scrape, copy or automate access in a way that harms the Service or other users; or
• misrepresent AI-generated material as independently verified when that distinction matters.

The Company may restrict or review activity where reasonably necessary to protect users, the Service or the law.

8. Your Content and licence to operate

You retain the rights you already have in Content you submit. You represent that you have the rights, permissions and authority needed to submit that Content and allow the Company to process it.

You grant the Company a limited, non-exclusive, worldwide permission to host, copy, store, process, display, transmit and return your Content only as needed to provide, secure, maintain and improve the Service in accordance with the Privacy Policy. This permission ends when the Content is deleted, except to the extent it remains in backups, security records or is required for legal purposes.

AI Output may not be unique. The Company does not promise that Output is free from third-party rights, and you are responsible for checking Output before you publish, distribute or use it.

9. Classroom and Student Data

You and, where relevant, your school remain responsible for obtaining permissions, providing notices, choosing suitable settings, protecting Student Data and complying with education, privacy, safeguarding and records requirements.

• Use the minimum Student Data needed for a feature.
• Prefer anonymous or fictional examples when identity is not relevant.
• Review generated Content and live-session results before relying on them with students.
• Do not use the Service as the sole basis for a high-stakes decision about a student.
• Follow your school's instructions if a Workspace is school-managed or an administrator controls access.

10. Plans, fees and cancellation

Any applicable plan price, renewal timing, trial condition, tax and payment requirement will be shown when you choose or change a plan. Early-access pricing or benefits may be offered for a limited period and may be updated with notice where required.

You can cancel a paid plan through the account controls made available for that plan or by contacting support. Cancellation normally takes effect at the end of the current paid period unless the checkout, written agreement or applicable law says otherwise. Refunds, consumer guarantees and other mandatory rights are not limited by this section.

Do not submit payment card details in a support message. Payment providers may handle payment information under their own terms.

11. Company ownership and feedback

The Company and its licensors retain ownership of the software, interface, visual design, product names, trademarks, documentation and Service components. These terms give you permission to use the Service; they do not sell or transfer those rights to you.

If you send suggestions, feedback or ideas, you allow the Company to use them to operate and improve the product without owing you a fee. That permission does not give the Company ownership of your underlying teaching resources.

12. Suspension and termination

The Company may suspend or limit access where needed for security, maintenance, legal compliance, non-payment, suspected misuse or a serious breach of these terms. Where practical, we will explain the reason and provide a way to resolve an issue.

You can stop using the Service and request Account closure. On closure, access may end immediately and Content will be handled under the Privacy Policy and applicable retention obligations. Sections that need to continue by their nature, including definitions, Content responsibility, ownership, disclaimers, liability and dispute terms, will continue to apply.

13. Warranties, disclaimers and liability

To the extent permitted by law, the Service is provided on an available and evolving basis. The Company does not promise that the Service will always be uninterrupted, error-free, secure, suitable for every teaching context or that an Output will be accurate or complete.

You are responsible for your use of the Service, your Content, your Account and the decisions you make from an Output. Nothing in these terms excludes, restricts or modifies a consumer guarantee, right or remedy that cannot legally be excluded, including rights under the Australian Consumer Law.

To the maximum extent allowed by law, the Company is not responsible for indirect or consequential loss arising from use of the Service. Where liability can legally be limited, it will be limited in the way the law permits and in proportion to the circumstances of the claim.

14. Changes, governing law and contact

The Company may update these terms as the Service develops, legal requirements change or new features are introduced. We will publish the current version on this page with a new last-updated date and take reasonable steps to highlight material changes. Continued use after the effective date means you accept the updated terms; if you do not agree, stop using the affected Service.

These terms are subject to the laws and mandatory consumer protections that apply where you use the Service. Nothing in this clause limits a right to bring a claim in a court or tribunal that the law makes available to you.
